By accessing or using the website, products, or services of eDataMetrix ("Company," "we," "us," or "our"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to all of these Terms, you are prohibited from using our Services and must discontinue use immediately.

These Terms apply to all visitors, users, clients, and others who access or use our Services, including our digital advertising platform, email list services, and AI filter technology.

eDataMetrix provides enterprise-grade digital advertising and email list services, including but not limited to:

• Programmatic display advertising • Social media advertising management • Search engine marketing (SEM) • Connected TV (CTV) advertising • Verified and segmented B2B email lists • AI-powered multi-filter audience targeting technology

The specific scope, deliverables, pricing, and terms of any engagement will be set forth in a separate Statement of Work (SOW) or Service Agreement executed between eDataMetrix and the client.

Our Services are intended solely for business entities and professionals. By using our Services, you represent and warrant that:

• You are at least 18 years of age • You are using the Services on behalf of a legitimate business entity • You have the authority to bind that entity to these Terms • All information you provide is accurate, current, and complete

You are responsible for maintaining the confidentiality of any account credentials and for all activities that occur under your account.

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use our Services to send unsolicited commercial email (spam) in violation of the CAN-SPAM Act, GDPR, CASL, or any other applicable law • Use our Services to harass, abuse, or harm any individual or group • Attempt to gain unauthorized access to any portion of our Services or related systems • Use our Services to transmit any material that is defamatory, obscene, fraudulent, or otherwise objectionable • Reverse engineer, decompile, or disassemble any software component of our Services • Resell, sublicense, or otherwise transfer access to our Services without prior written consent • Use our data for consumer marketing purposes where prohibited by applicable law

We reserve the right to terminate your access to our Services immediately and without notice for any violation of this Acceptable Use Policy.

All email lists, contact data, and audience segments provided by eDataMetrix are licensed, not sold, to clients for specific, agreed-upon marketing purposes.

Payment terms for all Services will be specified in the applicable Statement of Work or Service Agreement. Unless otherwise agreed in writing:

• Invoices are due within thirty (30) days of the invoice date • Late payments are subject to a finance charge of 1.5% per month (18% per annum) on the outstanding balance • eDataMetrix reserves the right to suspend Services for accounts more than thirty (30) days past due • All fees are non-refundable unless otherwise specified in the Service Agreement • Prices are subject to change with thirty (30) days' written notice

All amounts are in U.S. dollars unless otherwise specified.

All content, features, and functionality of our website and Services — including but not limited to text, graphics, logos, icons, images, audio clips, data compilations, software, and the compilation thereof — are the exclusive property of eDataMetrix or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use our Services for your internal business purposes. This license does not include the right to: modify or copy our materials; use materials for any commercial purpose other than as expressly permitted; attempt to decompile or reverse engineer any software; remove any copyright or proprietary notations; or transfer the materials to another person.

Each party agrees to keep confidential all non-public information disclosed by the other party in connection with the Services that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and circumstances of disclosure.

Confidential information does not include information that: is or becomes publicly known through no breach of this agreement; was rightfully known before disclosure; is independently developed without use of confidential information; or is required to be disclosed by law or court order.

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

eDATAMETRIX DOES NOT WARRANT THAT: (A) THE SERVICES WILL MEET YOUR SPECIFIC REQUIREMENTS; (B) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) THE RESULTS OBTAINED FROM USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE; OR (D) ANY ERRORS IN THE SERVICES WILL BE CORRECTED.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL eDATAMETRIX, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICES.

IN NO EVENT SHALL eDATAMETRIX'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO eDATAMETRIX IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

You agree to defend, indemnify, and hold harmless eDataMetrix and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services, including but not limited to your use of any data provided by eDataMetrix in violation of applicable law.

These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the Services shall first be submitted to non-binding mediation. If mediation is unsuccessful, disputes shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Morris County, New Jersey.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm.

Either party may terminate a Service Agreement upon thirty (30) days' written notice. eDataMetrix may terminate or suspend your access to the Services immediately, without prior notice or liability, if you breach any provision of these Terms.

Upon termination: your right to use the Services will immediately cease; you must destroy all data and materials provided by eDataMetrix; and all provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by updating the "Last Updated" date at the top of this page and, where appropriate, by sending an email notification. Your continued use of the Services after any changes constitutes your acceptance of the new Terms.
